These terms constitute a legally binding agreement between you and Plinthia. Please read them carefully before using our platform.

Terms of Service Agreement

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you and Plinthia (operating as a technology platform registered in the Republic of the Philippines) governing your access to and use of the Plinthia platform, website (plinthia.com and all subdomains), mobile applications, APIs, and all related services (collectively, the "Platform" or "Services").

Legal Framework

These Terms are governed by and shall be construed in accordance with the laws of the Republic of the Philippines, including but not limited to:

  • Republic Act No. 10173 - Data Privacy Act of 2012
  • Republic Act No. 8792 - Electronic Commerce Act of 2000
  • Republic Act No. 7394 - Consumer Act of the Philippines
  • Republic Act No. 10175 - Cybercrime Prevention Act of 2012
  • Civil Code of the Philippines

Acceptance of Terms

BY ACCESSING, BROWSING, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must immediately cease all use of the Platform.

Your acceptance occurs when you: (a) click "I Agree" or similar acceptance mechanism; (b) create an account; (c) make a booking; (d) list a venue; or (e) otherwise access or use the Platform.

Platform Overview

Plinthia is a technology platform that connects Venue Owners (businesses offering spaces for booking) with Customers (individuals or entities seeking to book spaces). Plinthia acts solely as an intermediary and does not own, operate, manage, or control any venues listed on the Platform.

These Terms incorporate by reference:

The following terms shall have the meanings ascribed to them:

"Account" means a registered user profile on the Platform, whether as a Customer, Venue Owner, or Staff member.

"Booking" means a reservation made by a Customer for a specific Facility, time slot, and duration through the Platform.

"Customer" means any individual or entity that searches for, views, or books Facilities through the Platform, whether through a registered account or as a Guest.

"Guest" or "Guest Booker" means an individual who makes a booking without creating a registered account. Guests must still provide valid contact information (name, email, phone) for the booking.

"Facility" means any bookable space, court, room, equipment, or resource listed on the Platform by a Venue Owner.

"Personal Information" has the meaning given under Republic Act No. 10173 (Data Privacy Act of 2012), referring to any information from which the identity of an individual can be reasonably and directly ascertained.

"Platform" means the Plinthia website, web applications, mobile applications, APIs, and all related technology services.

"Service Fee" means the fee charged by Plinthia for facilitating bookings and providing Platform services.

"Tenant" or "Venue Owner" means a business entity or individual that has been approved to list and manage Facilities on the Platform.

"User" means any person who accesses or uses the Platform, including Customers, Venue Owners, Staff, and visitors.

"Venue" means a physical location where one or more Facilities are available for booking.

Age Requirements

You must be at least eighteen (18) years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement. If you are under 18, you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

Legal Capacity

You represent and warrant that you:

  • Have the legal capacity to enter into binding contracts under Philippine law
  • Are not prohibited by any applicable law from using the Platform
  • Will comply with all applicable local, national, and international laws
  • Have not been previously suspended or removed from the Platform

Business Users

If you are using the Platform on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to both you and the entity.

Venue Owner Eligibility

To register as a Venue Owner, you must:

  • Be a registered business entity or sole proprietor in the Philippines
  • Have the legal right to offer the listed spaces for booking
  • Provide accurate business registration documents upon request
  • Maintain all required permits, licenses, and insurance for your venues
  • Complete the application process and receive approval from Plinthia
  • Comply with BIR registration and tax obligations

Account Registration

To access certain features, you must create an account. During registration, you agree to:

  • Provide accurate, current, and complete information
  • Update your information to keep it accurate and current
  • Use a valid email address that you control
  • Provide a valid Philippine mobile number for SMS verification
  • Create a secure password (minimum 8 characters)

Account Types

Customer Account: Allows you to search for, view, and book Facilities. You can manage your booking history, save preferences, and earn loyalty points.

Venue Owner Account: Allows you to list and manage Facilities, set pricing, manage bookings, and access analytics. Requires application approval.

Staff Account: Created by Venue Owners for employees to manage day-to-day operations with limited permissions.

Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying Plinthia of any unauthorized access
  • Ensuring your account is not shared with or used by others

Plinthia will never ask for your password via email, phone, or SMS. Report suspicious communications immediately.

Phone Verification & OTP

We use SMS-based One-Time Passwords (OTP) to verify your identity. By providing your phone number, you consent to receive:

  • OTP verification codes (valid for 5 minutes)
  • Booking confirmations and reminders
  • Important account and security notifications

Standard SMS rates may apply. You may opt out of non-essential messages but OTPs are required for account security.

Account Restrictions

You may NOT:

  • Create multiple accounts for fraudulent purposes
  • Share account credentials with third parties
  • Use another person's account without authorization
  • Sell, transfer, or assign your account
  • Use fake or misleading information in your profile

Booking Process

When you make a booking through the Platform:

  1. Select your desired Facility, date, and time slot
  2. Review the Venue's pricing, rules, and policies
  3. Provide required contact information
  4. Confirm and submit your booking request
  5. Receive confirmation (immediate or pending Venue approval)

Booking Confirmation

A booking is NOT confirmed until you receive written confirmation via email or SMS. Some Venues require manual approval before confirming bookings. Draft bookings are automatically saved for 30 minutes and then discarded.

Booking Queue (Waitlist)

If a Facility is fully booked, you may join the booking queue. If a slot becomes available:

  • You will be notified via SMS and/or email
  • You must confirm within the specified timeframe
  • Failure to confirm will move you out of the queue
  • Queue position is based on request timestamp

Recurring Bookings

You may create recurring booking series (daily, weekly, or monthly). Each instance is a separate booking subject to:

  • Availability at the time of each occurrence
  • The Venue's recurring booking policies
  • Applicable pricing for each date (including dynamic pricing)

Cancellations

Cancellation policies are set by individual Venues and displayed before booking. Common policies include:

  • Flexible: Free cancellation until 24 hours before
  • Moderate: Free cancellation until 48 hours before
  • Strict: 50% refund until 7 days before, no refund after
  • Non-refundable: No refunds once confirmed

You acknowledge that cancellation policies are set by Venues, not Plinthia, and you agree to review them before booking.

No-Shows

If you fail to arrive for your booking without cancellation:

  • You may forfeit your entire payment
  • The Venue may mark your booking as a no-show
  • Repeated no-shows may result in account restrictions
  • You may be required to prepay for future bookings

Customer Responsibilities

  • Arrive on time for your booking
  • Follow the Venue's rules and regulations
  • Treat the Facility and equipment with care
  • Leave the Facility in good condition
  • Report any damage or issues to the Venue
  • Vacate the Facility promptly at the end of your booking

Pricing

All prices are displayed in Philippine Pesos (PHP) and are set by Venues. Prices may include:

  • Base hourly or per-session rate
  • Dynamic pricing (peak hours, weekends, holidays)
  • Equipment or add-on fees
  • Service fees charged by Plinthia
  • Applicable taxes (12% VAT where applicable)

Dynamic Pricing

Venues may implement dynamic pricing rules that adjust rates based on:

  • Time of day (e.g., peak hours)
  • Day of week (e.g., weekends)
  • Special dates (e.g., holidays)
  • Demand levels

The final price will always be displayed before you confirm your booking.

Payment Methods (Venue Bookings)

For booking payments at Venues, we accept:

  • Cash: Pay at the Venue (where allowed)
  • Credit/Debit Card: Via secure payment processor
  • GCash: Philippine mobile wallet
  • PayMaya/Maya: Philippine mobile wallet
  • Bank Transfer: Direct bank payment

Payment method availability varies by Venue. Some methods may incur additional processing fees.

Subscription Payments (Paddle)

For Plinthia subscription plans (Venue Owner accounts), payments are processed by Paddle.com Market Limited as our Merchant of Record:

  • Paddle accepts major credit/debit cards, PayPal, and select local payment methods
  • Paddle handles all currency conversion if paying in a currency other than your local currency
  • Paddle collects applicable taxes (VAT, GST, sales tax) based on your location
  • Your receipt and invoice will come from Paddle, not Plinthia

Service Fees

Plinthia charges a service fee for facilitating bookings. Service fees:

  • Are non-refundable except where required by law
  • Are clearly displayed before booking confirmation
  • May vary based on booking value or payment method
  • Cover platform maintenance, support, and secure transactions

Refunds

Refunds are processed according to the Venue's cancellation policy:

  • Eligible refunds are processed within 5-14 business days
  • Refunds are returned to the original payment method
  • Service fees may or may not be refundable depending on circumstances
  • Cash payments are refunded via your preferred method

Payment Disputes

If you believe you have been incorrectly charged:

  1. Contact our support team within 30 days of the charge
  2. Provide your booking reference and payment details
  3. We will investigate and respond within 10 business days
  4. If valid, refunds are processed within 5-14 business days

Paddle as Merchant of Record

Plinthia subscription payments are processed by Paddle.com Market Limited ("Paddle"), who acts as our Merchant of Record. This means:

  • Paddle is the seller - Your payment contract is with Paddle, not directly with Plinthia
  • Paddle handles billing - All charges appear as "PADDLE.NET* PLINTHIA" on your statement
  • Paddle manages taxes - VAT, GST, and sales tax are calculated and collected by Paddle based on your location
  • Paddle provides receipts - Official invoices and receipts come from Paddle

By subscribing, you agree to Paddle's Terms of Service in addition to these Terms.

Subscription Plans

Plinthia offers subscription plans for Venue Owners to access platform features. Subscription details include:

  • Billing Cycles: Monthly or Annual billing options
  • Plan Features: Each plan tier includes specific features and limits as described on our pricing page
  • Usage Limits: Some features may have usage caps based on your plan tier
  • Multiple Venues: Additional venues may require plan upgrades or additional fees

Auto-Renewal

ALL SUBSCRIPTIONS AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS CANCELLED.

  • Monthly plans renew every month on the same date you subscribed
  • Annual plans renew every 12 months on the anniversary of your subscription
  • You will be charged at the then-current subscription rate (prices may change with 30 days notice)
  • Renewal charges are processed automatically by Paddle using your saved payment method
  • You will receive an email reminder before each renewal

To avoid being charged for the next billing period, you must cancel BEFORE the renewal date.

How to Cancel

You may cancel your subscription at any time by:

  1. Logging into your Plinthia dashboard and navigating to Billing settings
  2. Clicking "Manage Subscription" which redirects to your Paddle customer portal
  3. Selecting "Cancel Subscription" and confirming your cancellation

Alternatively, contact [email protected] and we will process your cancellation request within 2 business days.

Effect of Cancellation

When you cancel your subscription:

  • Access continues until period end: You retain full access until the end of your current billing period
  • No partial refunds: Cancellation does not entitle you to a refund for the remaining days in your billing period (except as stated in our Refund Policy below)
  • Data retention: Your venue data is retained for 30 days after subscription ends, then deleted
  • Reactivation: You may resubscribe at any time, but previous pricing is not guaranteed
  • Bookings: Existing confirmed bookings remain valid; new bookings may be restricted

Refund Policy

14-Day Refund Policy

You may request a full refund within fourteen (14) days of any payment. This applies to:

  • Initial subscription purchases
  • Subscription renewals (monthly or annual)
  • Plan upgrades

Refunds are processed by Paddle, our Merchant of Record, in accordance with Paddle's Buyer Terms.

How to Request a Refund

To request a refund:

  1. Email [email protected] with subject line "Refund Request"
  2. Include your account email address
  3. We will process your request within 5 business days
  4. Refunds are returned to your original payment method within 5-10 business days

After 14 Days

After the 14-day period, refunds are not available. You may cancel your subscription at any time, and you will retain access until the end of your current billing period.

Price Changes

Plinthia reserves the right to change subscription prices at any time. If we change prices:

  • We will provide at least 30 days advance notice via email
  • Current subscribers will be notified of the new price before their next renewal
  • Price changes take effect at your next billing cycle after the notice period
  • If you do not agree to the new price, you may cancel before the change takes effect
  • Continuing to use the service after a price change constitutes acceptance

Failed Payments

If your payment method fails during renewal:

  • Paddle will attempt to charge your payment method up to 3 times over 7 days
  • You will receive email notifications of failed payment attempts
  • You may update your payment method in the Paddle customer portal
  • If all retry attempts fail, your subscription will be cancelled
  • You may resubscribe at any time with a valid payment method

Plan Changes

You may upgrade or downgrade your subscription plan:

  • Upgrades: Take effect immediately; you are charged the prorated difference for the remainder of your billing period
  • Downgrades: Take effect at the start of your next billing period; you retain current plan features until then
  • Feature availability may change when switching plans
  • Some data or configurations may not transfer between plan tiers

Free Trials

If we offer a free trial period:

  • You must provide valid payment information to start the trial
  • You will NOT be charged during the trial period
  • At the end of the trial, your subscription will automatically convert to a paid subscription
  • To avoid charges, cancel before the trial period ends
  • Free trials are limited to one per customer/business
  • We reserve the right to modify or discontinue free trials at any time

Taxes

Paddle calculates and collects applicable taxes based on your billing address:

  • Prices shown may or may not include taxes depending on your location
  • VAT, GST, sales tax, or other applicable taxes will be added at checkout
  • Business customers may provide a valid tax ID (VAT number) to Paddle for tax exemption where applicable
  • You are responsible for any taxes not collected by Paddle

Chargebacks & Disputes

If you dispute a charge with your bank or credit card company:

  • Your account will be immediately suspended pending resolution
  • We encourage you to contact us first at [email protected] to resolve any billing issues
  • Fraudulent chargebacks may result in permanent account termination
  • We reserve the right to pursue recovery of disputed amounts plus any fees incurred
  • Repeated chargebacks will result in being banned from the platform

Most billing issues can be resolved quickly by contacting our support team before initiating a dispute with your bank.

Application Process

To list your venue on Plinthia, you must complete our application process:

  1. Submit an application with required business information
  2. Verify your email and phone number
  3. Provide business registration documents (if requested)
  4. Agree to these Terms and the Venue Agreement
  5. Receive approval from Plinthia

Plinthia reserves the right to approve or reject any application at its sole discretion without providing reasons.

Venue Obligations

As a Venue Owner, you agree to:

  • Provide accurate and current information about your Facilities
  • Maintain accurate availability calendars
  • Honor all confirmed bookings
  • Provide Facilities as described in your listings
  • Respond to customer inquiries within 24 hours
  • Maintain a safe and clean environment
  • Comply with all applicable laws, permits, and regulations
  • Maintain appropriate liability insurance
  • Report any incidents or safety concerns promptly

Listing Requirements

Your Facility listings must:

  • Contain accurate descriptions and specifications
  • Include clear, recent photographs
  • Display honest pricing (no hidden fees)
  • List all rules, restrictions, and requirements
  • Specify cancellation policies clearly
  • Not contain misleading or false information

Commission & Payouts

Plinthia charges a commission on each successful booking:

  • Commission rates are specified in your Venue Agreement
  • Payouts are processed according to your chosen schedule
  • Payouts are made to your registered bank account or e-wallet
  • You are responsible for all applicable taxes on earnings

Tax Obligations

Venue Owners are solely responsible for:

  • BIR registration and compliance
  • Issuance of official receipts (OR) or sales invoices
  • Collection and remittance of VAT (if applicable)
  • Filing and payment of income taxes
  • Withholding taxes on employees (if applicable)

Plinthia may be required to report your earnings to the BIR and may issue BIR Form 2307 for creditable withholding tax.

Customer Data

You will have access to Customer Personal Information for bookings at your Venue. You agree to:

  • Use this data only for fulfilling bookings
  • Not share, sell, or misuse Customer data
  • Comply with the Data Privacy Act of 2012
  • Implement appropriate data security measures
  • Delete Customer data upon request or account termination

Venue Termination

Your Venue account may be suspended or terminated if you:

  • Violate these Terms or applicable laws
  • Receive excessive negative reviews or complaints
  • Fail to honor confirmed bookings repeatedly
  • Provide false or misleading information
  • Engage in fraudulent activity
  • Fail to respond to Plinthia communications

General Conduct

When using the Platform, you agree to:

  • Act honestly and in good faith
  • Treat other users with respect
  • Comply with all applicable laws and regulations
  • Not engage in discriminatory behavior
  • Not harass, threaten, or abuse other users

Prohibited Activities

You may NOT use the Platform to:

  • Violate any law, statute, ordinance, or regulation
  • Infringe intellectual property rights of others
  • Transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to systems
  • Interfere with or disrupt Platform operations
  • Scrape, crawl, or harvest data without permission
  • Create fake accounts or impersonate others
  • Engage in fraudulent bookings or payments
  • Circumvent fees, commissions, or payment systems
  • Post false, misleading, or defamatory content
  • Send spam or unsolicited communications
  • Use the Platform for money laundering or illegal purposes
  • Discriminate based on race, religion, gender, or other protected characteristics

Security Violations

Violations of system or network security may result in civil or criminal liability. We may investigate and cooperate with law enforcement to prosecute users who violate these Terms.

Reporting Violations

If you become aware of any violation of these Terms, please report it to [email protected] with relevant details and evidence.

Plinthia's Intellectual Property

All content, features, and functionality of the Platform, including but not limited to:

  • Text, graphics, logos, and icons
  • Software, algorithms, and source code
  • User interface design and layouts
  • Database structures and organization
  • Trademarks, service marks, and trade names

are owned by Plinthia or its licensors and are protected by Philippine and international copyright, trademark, and other intellectual property laws.

Limited License

Subject to these Terms, Plinthia grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. You may NOT:

  • Copy, modify, or create derivative works
  • Reverse engineer, decompile, or disassemble
  • Remove or alter any proprietary notices
  • Use for commercial purposes without authorization
  • Sublicense, sell, or transfer your rights

User Content

By submitting content to the Platform (reviews, photos, descriptions), you:

  • Retain ownership of your content
  • Grant Plinthia a worldwide, royalty-free, perpetual license to use, display, and distribute your content
  • Represent that you have the right to submit such content
  • Agree not to submit content that infringes third-party rights

Copyright Complaints

If you believe your copyrighted work has been infringed, please send a notice to [email protected] containing:

  • Description of the copyrighted work
  • Location of the infringing material on our Platform
  • Your contact information
  • Statement of good faith belief
  • Statement of accuracy under penalty of perjury
  • Your physical or electronic signature

Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

No Warranty

Plinthia does NOT warrant that:

  • The Platform will be uninterrupted, secure, or error-free
  • Results obtained will be accurate or reliable
  • Defects will be corrected
  • The Platform is free of viruses or harmful components
  • Venues or Customers will perform their obligations

Plinthia's Role as Intermediary

Plinthia is a technology platform that connects Venue Owners with Customers. We do not own, operate, manage, or control any Venues. We are NOT responsible for:

  • The quality, safety, legality, or suitability of Venues
  • The accuracy of Venue listings or descriptions
  • The performance of Venues or Customers
  • Personal injury, property damage, or other harm at Venues
  • Disputes between Venues and Customers
  • Actions or omissions of Venue staff

Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW, PLINTHIA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED:

  • The amount you paid to Plinthia in the 12 months preceding the claim, OR
  • PHP 10,000.00 (Ten Thousand Pesos), whichever is greater

Exclusion of Damages

PLINTHIA SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or goodwill
  • Cost of substitute services
  • Damages arising from third-party claims

These limitations apply even if Plinthia has been advised of the possibility of such damages.

Consumer Protection

Nothing in these Terms limits or excludes any rights you have under the Consumer Act of the Philippines (RA 7394) or other applicable consumer protection laws that cannot be limited or excluded by contract.

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Plinthia, its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights
  • Your content submitted to the Platform
  • Your interaction with other Users, Venues, or Customers
  • Any disputes between you and third parties

Venue Owner Indemnification

As a Venue Owner, you additionally agree to indemnify Plinthia for claims arising from:

  • The condition or safety of your Facilities
  • Personal injury or property damage at your Venues
  • Your failure to comply with applicable laws and permits
  • Your breach of agreements with Customers
  • Employment disputes with your staff
  • Tax liabilities arising from your earnings

Termination by You

You may terminate your account at any time by:

  • Contacting our support team at [email protected]
  • Using the account deletion feature (if available)

Termination does not release you from obligations incurred before termination, including pending bookings, outstanding payments, or disputes.

Termination by Plinthia

Plinthia may suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Conduct harmful to other users or Plinthia
  • Extended period of inactivity
  • Failure to pay outstanding amounts
  • Request by law enforcement or government agency
  • Discontinuation of the Platform

Effect of Termination

Upon termination:

  • Your right to access the Platform immediately ceases
  • Confirmed bookings may be cancelled
  • Outstanding payments remain due
  • Plinthia may retain your data as required by law
  • Provisions that should survive termination will continue

Data After Termination

Upon account termination, we will delete or anonymize your Personal Information within 30 days, except where retention is required by law or for legitimate business purposes (e.g., fraud prevention, legal claims). See our Privacy Policy for details.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at [email protected] to attempt informal resolution. Most disputes can be resolved through good faith negotiation within 30 days.

Mediation

If informal resolution fails, the parties agree to attempt mediation before filing any lawsuit. Mediation shall be:

  • Conducted in Metro Manila, Philippines
  • Administered by a mutually agreed mediator
  • Conducted in English or Filipino
  • Confidential between the parties

Arbitration

If mediation fails, disputes shall be resolved through binding arbitration under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI):

  • Arbitration shall be conducted in Metro Manila
  • A single arbitrator shall be appointed
  • Proceedings shall be in English
  • The arbitrator's decision shall be final and binding
  • Judgment may be entered in any court of competent jurisdiction

Exclusive Jurisdiction

For matters not subject to arbitration, you agree to the exclusive jurisdiction of the courts of Makati City, Metro Manila, Philippines.

Time Limitation

Any claim or cause of action arising from these Terms or your use of the Platform must be filed within one (1) year after the claim arose. Claims filed after this period are permanently barred.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found unenforceable, the entire arbitration agreement shall be void.

Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any other policies referenced herein, constitute the entire agreement between you and Plinthia regarding the Platform and supersede all prior agreements and understandings.

Amendments
